By completing checkout you accept these terms. They are one page on purpose. If anything here is not what you were told, do not pay — reply to the email instead and it will be corrected in writing before any money moves.

1. Who you are contracting with

Vertexium Environmental Solutions LLC, a Texas limited liability company, at the address above. The work is performed and signed by Mohamed Elansary, PhD (Environmental Engineering, Texas A&M University-Kingsville, 2022). He is not a licensed Professional Engineer, not an attorney, and not a certified public accountant. Nothing VES provides is legal, accounting, or engineering advice, and nothing here creates an attorney-client relationship.

2. What the work is (scope)

You send records you already have — pay applications (G702/G703), schedule of values, invoices, change orders and change-order requests, certified payroll (WH-347), sign-in and clock records, subcontracts, purchase orders.

We read them and tie them to each other:

• hours signed vs hours clocked vs hours billed;
• work in place vs what the applications applied for;
• approved change orders vs what was invoiced;
• contract sum to date vs certificates to date.

The findings memo. The first deliverable is a written findings memo, normally within one business day of receiving one job's records. Every figure in it names the file it was read from. Anything that cannot be sourced from your own files is listed as a question for you rather than stated as a fact. The first findings memo is free and carries no obligation: if it finds nothing you can bill, you owe nothing and you keep the memo.

The build (the paid work). If you buy the flat build, we prepare one pay-application package for one job — the application form, the continuation sheet, the supporting reconciliation, and a list of the backup documents it relies on — ready for your signature.

What we do not do. We do not sign, submit, file, transmit, certify, or send anything to a general contractor, an owner, a lender, an agency, or anyone else. The document is delivered to you. You review it, you sign it, you send it, or you do not. Nothing is filed without your approval. We do not represent you before any agency and we do not give an opinion on the merits of any claim, lien, or dispute.

3. Fees — two purchases, and nothing else

You may buy either one, in either order. Buying one does not enrol you in the other.

The flat build: $1,500 (one time, per job). Payable at checkout. Covers one pay-application package for one job, prepared from the records you send, ready for your signature. It is not a subscription and it does not renew.

The weekly desk: $500 a week (ongoing). The ongoing billing desk, billed weekly through Stripe. It can be bought first, on its own; it does not require a flat build. It continues until you cancel. To cancel, give one month's written notice (an email is enough); the desk and its weekly billing run until that month ends.

No promises about outcome. VES does not promise, guarantee, or predict that you will collect, recover, or be paid anything. What we do promise is what we will not charge: if the memo finds nothing you can bill, you owe nothing.

Money terms. No interest, no finance charges, and no late fees are charged on anything, ever. Prices are in US dollars. Payment is processed by Stripe; VES does not see or store your card number. Taxes, if any apply, are your responsibility.

4. Cancellation and refunds

• You may cancel at any time before the work is delivered by replying to the email thread or writing to the address above. If you cancel before delivery, the flat fee is refunded in full.
• If we have delivered the build and you are not satisfied that it does what section 2 says it does, tell us within 14 days of delivery and the flat fee is refunded in full.
• The flat build is a one-time purchase. There is no recurring charge to cancel.
• The weekly desk is cancelled with one month's written notice, as section 3 says.
• Refunds are returned to the original payment method.

5. Your records, and confidentiality

• The records you send stay yours. You give VES permission to read them only for the purpose of doing the work described in section 2.
• We do not disclose your records, your name, your job names, your figures, or the fact that you are a client to any third party — not to a general contractor, an owner, a lender, an agency, a competitor, or a marketing list — except where a court or a law requires it, and then only what is required, and we will tell you unless the law forbids it.
• Any published or emailed reference to work already done is anonymized: no client name, no job name, no counterparty, no location beyond a state.
• Files are stored on a private machine and are deleted on your written request.
• You confirm you are entitled to send us the records you send.

6. What you are responsible for

The work is only as good as the records. VES reads what you provide and states what those documents show. VES does not audit, verify with third parties, or independently confirm the accuracy of records you supply, and does not decide what you should bill. Every figure is yours to review before you sign or send anything.

7. Limits

To the maximum extent Texas law allows, VES's total liability arising out of or relating to this agreement is limited to the fees you actually paid VES for the work at issue. VES is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost claims, or amounts you did not collect. Nothing in this section limits liability for fraud or for anything that cannot be limited by law.

8. Governing law and disputes

These terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. The exclusive venue for any dispute is the state or federal courts located in Denton County, Texas, and both sides consent to that venue. Each side pays its own costs.

9. The rest

• These terms plus the email thread in which the work was agreed are the whole agreement. Nothing said elsewhere adds to them.
• If any part of these terms is unenforceable, the rest stays in force.
• We may update these terms for future purchases; the version in force is the one shown at your checkout, and it is the version above unless the page says otherwise.
